On April 5, 2006, Viacom Inc. announced that it has agreed to sell a total of $4.75 billion in aggregate principal amount of senior notes and debentures, comprised of $1.50 billion in aggregate principal amount of 5.75% senior notes due 2011 at a price equal to 99.396% of the principal amount thereof (the 2011 Senior Notes), $1.50 billion in aggregate principal amount of 6.25% senior notes due 2016 at a price equal to 99.561% of the principal amount thereof (the 2016 Senior Notes) and $1.75 billion in aggregate principal amount of 6.875% senior debentures due 2036 at a price equal to 99.003% of the principal amount thereof (the 2036 Debentures and, together with the 2011 Senior Notes and the 2016 Senior Notes, the Senior Notes and Debentures) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the Securities Act), and outside the United States to non-U.S. persons in compliance with Regulation S under the Securities Act. VIACOM PRICES SENIOR NOTES AND DEBENTURES
NEW YORK, April 5, 2006 Viacom Inc. (NYSE: VIA and VIA.B) today announced that it has agreed to sell $1.50 billion in aggregate principal amount of 5.75% senior notes due 2011 at a price equal to 99.396% of the principal amount thereof (the 2011 Senior Notes), $1.50 billion in aggregate principal amount of 6.25% senior notes due 2016 at a price equal to 99.561% of the principal amount thereof (the 2016 Senior Notes) and $1.75 billion in aggregate principal amount of 6.875% senior debentures due 2036 at a price equal to 99.003% of the principal amount thereof (the 2036 Debentures and, together with the 2011 Senior Notes and the 2016 Senior Notes, the Senior Notes and Debentures) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the Securities Act), and outside the United States to non-U.S. persons in compliance with Regulation S under the Securities Act. The sale of the Senior Notes and Debentures is expected to close on April 12, 2006.
Viacom intends to use the net proceeds of the offering to repay a portion of the amounts outstanding under its existing credit facilities.
The Senior Notes and Debentures have not been registered under the Securities Act, or any state securities laws, and unless so registered, may not be offered nor sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable securities laws.
